In addition to the structuring and the implementation of employee share incentive schemes (stock options, …) for large corporations, our recognised expertise in private equity and more generally in mergers and acquisitions allows us to work on a regular basis on securities issuances and on the contractual organisations of employees’ investments in their companies. With the benefit of our extensive experience, we have built a significant expertise for setting up and monitoring managementcos which are reserved to certain executives, issuing complex securities, or implementing financial structures (FCPE…). We intend to maintain our standard of excellence with a view to strengthening our reputation and to providing our clients with the best assistance possible. We have therefore decided to team up with the law firm Capstan (one of the best ranked specialist in employment and labour law) in the context of an innovative project which has resulted in the creation of the Groupement d'Intérêt Economique CAPITAL INGENIUM, exclusively dedicated to employee share incentive and saving schemes. The advantages of employee share incentive and saving schemes are proven, both for companies and their employees. However the current increase of incentive schemes for employees (collective saving plans, profit sharing plans, PEE, FCPE, stock option plans, free shares plans …) and the complexity of the applicable regulations mean that our clients need specific and adequate answers. Because this topic covers several areas of practice, we have decided to bring together our respective expertises in corporate finance law, tax law and labour law, in order to strengthen and confirm our position of a key player for the market for employee share incentive and saving schemes. |
